Apex Executive Education (Apex ExEd)

These Terms of Service ("Terms") constitute a legally binding agreement between AEECS Private Limited, operating under the brand name Apex Executive Education (hereinafter "Apex ExEd", "we", "our", or "us") and the end user ("you", "learner", "student", or "participant"), governing access to and use of our website, mobile applications, digital platforms, and all related services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have carefully read, understood, and voluntarily agreed to be bound by these Terms. If you do not consent to these Terms in whole or in part, you are advised to refrain from using the Services forthwith.

1. Nature of Services

  1. Apex ExEd functions solely as an educational facilitation, advisory, and support platform. It is not a degree-granting or regulatory body.
  2. All diplomas, degrees, certificates, and academic awards are exclusively conferred by the respective universities or institutions, unless explicitly stated otherwise in writing.
  3. Apex ExEd provides ancillary services including program discovery, admissions support, career advisory, and counselling, but final academic and administrative authority remain with the partner institutions.

2. User Eligibility

  1. Only individuals who have attained the age of majority (18 years in India, or the applicable legal age in their jurisdiction) may use the Services.
  2. By registering, you represent and warrant that you possess full legal capacity and authority to enter into and perform obligations under these Terms.

3. Admissions & Enrolment

  1. Admission to any program is subject to the sole and absolute discretion of the concerned partner university or institution.
  2. Apex ExEd may facilitate and assist in the process but does not guarantee admission, enrolment, or outcome.
  3. Enrolment is deemed confirmed only upon issuance of an official confirmation by the university/institution.

4. Fees, Payments, and Refunds

  1. All program-related fees are prescribed by the respective university/institution. Apex ExEd may act as a collection agent through secure banking/payment channels.
  2. Refunds, where applicable, shall strictly be governed by the refund policies of the concerned university/institution. Apex ExEd bears no independent liability in this regard.
  3. The payable amount may include taxes, statutory levies, forex charges, or processing fees, which are non-refundable unless required by law.
  4. Default or delay in payment shall entitle Apex ExEd to suspend or withhold services until dues are cleared.

5. Intellectual Property & Academic Content

  1. All academic content (lectures, assignments, course material) remains the exclusive property of the respective university/institution.
  2. Apex ExEd proprietary material (guides, tools, designs, processes, and digital content) is protected under copyright and intellectual property laws of India.
  3. Unauthorized use, reproduction, redistribution, or commercial exploitation without prior written consent constitutes a legal infringement and shall invite appropriate civil/criminal remedies.

6. Code of Conduct

While availing Services, you agree to:

  1. Provide accurate, truthful, and updated information.
  2. Abstain from plagiarism, malpractice, impersonation, or any unethical behaviour.
  3. Not misuse or disrupt our digital platform or services.
  4. Respect the rights, dignity, and privacy of faculty, staff, and fellow learners.

Violation may result in suspension, termination, or blacklisting, without refund, and may further invite legal proceedings.

7. Limitation of Liability

  1. Apex ExEd endeavours to maintain accurate and updated information but does not guarantee completeness, timeliness, or error-free content.
  2. Apex ExEd shall not be liable for:
    • Modifications, cancellations, or academic changes made by universities/institutions.
    • Employment outcomes, promotions, or career expectations.
    • Service interruptions arising from technical errors, system failures, cyber incidents, or force majeure events.
  3. To the maximum extent permissible by law, Apex ExEd's liability shall be restricted to the actual fee received by Apex ExEd for the disputed Service.

8. Indemnity

You agree to indemnify, defend, and hold harmless Apex ExEd, its directors, employees, affiliates, and partners from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of:

  • Your breach of these Terms;
  • Misrepresentation of information;
  • Misuse of Services; or
  • Violation of applicable laws.

9. Data Privacy & Confidentiality

  1. Your personal data shall be collected, processed, stored, and shared strictly in accordance with our Privacy Policy and the provisions of the Information Technology Act, 2000 and allied rules.
  2. By using the Services, you consent to Apex ExEd sharing necessary data with partner universities, affiliates, and authorized vendors solely for academic facilitation and lawful purposes.

10. Third-Party Services

  1. The Services may include integrations with third-party platforms (e.g., LMS providers, payment gateways). Apex ExEd does not control, endorse, or assume liability for such third-party services.
  2. Users shall comply with the respective terms and privacy policies of such third-party providers.

11. Termination of Services

  1. Apex ExEd reserves the right to suspend, restrict, or terminate Services in cases of non-compliance, breach of Terms, misconduct, or misuse.
  2. In such events, fees paid shall not be refunded.

12. Governing Law & Dispute Resolution

  1. These Terms shall be governed by and construed in accordance with the prescribed laws, without regard to conflict of law provisions.
  2. Parties shall endeavour to resolve disputes amicably. Failing which, the matter shall first be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Apex ExEd.
  3. The seat and venue of arbitration shall be Mumbai India, and proceedings shall be conducted in English.
  4. Subject to arbitration, the courts at Mumbai India shall have exclusive jurisdiction.

13. Force Majeure

Apex ExEd shall not be held liable for non-performance or delay in performance of its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, government restrictions, epidemics, strikes, or cyber-attacks.

14. Amendments

Apex ExEd reserves the right to amend, modify, or update these Terms at its discretion. The updated Terms shall be published on the official website, and continued use of Services shall be deemed acceptance thereof.
